For most businesses, a Private Limited Company (Pvt) Ltd is the preferred structure because it provides limited liability and a professional business identity.

What Do You Need?

Before starting the registration process, prepare:

  • A unique company name
  • At least one director
  • A company secretary
  • A registered business address
  • Shareholder details

How Do You Register a Company in Sri Lanka?

Step 1: Reserve Your Company Name

Submit your preferred company name through the eROC portal. It is advisable to have two or three alternative names ready in case your first choice is unavailable.

Step 2: Submit Company Details

Provide information about the directors, shareholders, company secretary, and registered office address.

Step 3: Upload the Required Documents

You will need:

  • Form 1 – Application for Incorporation
  • Form 18 – Director Consent
  • Form 19 – Secretary Consent
  • Articles of Association

Step 4: Pay the Registration Fees
